Corporate Ethics Implementation Principles
Principle 1. Compliance with Wonik’s Code of Ethics.
All employees of Wonik must faithfully comply with the Code of Ethics and shall be held responsible for any violations thereof.
In cases where an employee is forced to engage in conduct that violates the Code of Ethics or becomes aware of any improper conduct, such matters must be reported to the corporate ethics department.
The corporate ethics department shall distribute the Wonik Code of Ethics to employees and conduct regular training so that Wonik’s management philosophy and core values are realized at each business site, and a sound and valuable corporate culture can be formed and maintained.

- - Respect fair trade order based on the principle of free competition, comply with fair trade–related laws and regulations, and engage in fair and good-faith competition with competitors.
- - Do not enter into agreements, understandings, or contracts related to joint activities that undermine market order (such as price or bid rigging, collective refusal to deal, market allocation agreements, or agreements restricting product types or transaction volumes), and restrict illegal information exchanges, social gatherings, or joint meetings that may raise suspicions of collusion.

Principle 2. Maintain a Clean Corporate Culture
Employees of Wonik have the obligation to maintain and develop a clean corporate culture, to empathize with the goals and values pursued by the company, and to faithfully fulfill their respective responsibilities in accordance with the company’s business policies.
Wonik employees shall always maintain the management principles of “Trust,” “Fairness,” and “Transparency,” and sincerely comply with the following principles so as to uphold the dignity and reputation of the company and Wonik employees by possessing the highest ethical values.

- 2-1. Basic Ethics in the Performance of Duties

- - Employees shall comply with all laws and internal regulations related to their duties and perform their work fairly and transparently.
- - All records and reports of work shall be made accurately and honestly, and documents and figures shall not be manipulated or falsely reported.
- - In connection with the performance of duties, employees shall not accept any entertainment, hospitality, or financial benefits from interested parties that may undermine fairness.
- - Employees shall not engage in immoral or unethical conduct during any work activities.
- - Employees have the obligation to protect the company’s assets and confidential information (tangible assets, intellectual property rights, technical and business information, etc.), and shall not leak or provide such information to third parties without authorization.
- - Employees shall not directly or indirectly trade the company’s securities using internal information obtained in the course of performing their duties, nor provide undisclosed information to third parties without prior approval from the company.
- - Employees shall strive to create a sound organizational culture based on smooth communication and mutual trust among superiors and colleagu.
- 2-2. Strictly Distinguish Public and Private Interests in All Work Activities

- - Employees shall endeavor to avoid any acts or relationships that conflict with the company’s interests, and in cases where the interests of the company and the individual conflict, decisions shall be made by giving top priority to the company’s legitimate interests.
- - The company’s tangible and intangible assets shall be used to achieve the company’s public business objectives, and no fraudulent acts such as embezzlement or misappropriation of company assets for private gain shall be committed.
- - Any act of registering a company related to oneself in any manner as a company partner and obtaining direct or indirect private benefits through unfair orders is not permitted.
- - Any financial transactions (lending or borrowing) or joint investments (equity investment, real estate or stock investment, etc.) with the company’s business partners are strictly prohibited.
- - Private orders to the company’s business partners are prohibited.
- - Private expenses shall not be processed as public company expenses.

- - Comply with fair trade laws and regulations related to bidding participation, negotiation of transaction conditions, and payment in transactions with partners.
- - Do not provide preferential treatment or convenience in the process of selecting partners, and maintain fair transactional relationships.
- - Do not abuse a superior position to force unfair practices or exert influence to obtain unjust benefits.
- - Do not provide or request quid pro quo gifts, entertainment, bribes, or money to or from customers or partners in connection with work activities.
- - In unavoidable cases where it is necessary to provide gifts or entertainment to a business counterpart, such actions may be permitted within socially acceptable limits or within the scope allowed by relevant laws and internal regulations; however, money shall not be provided.

- - Do not engage in unethical or illegal acts such as unfair work instructions, mediation, solicitation, or preferential treatment that may hinder fair job performance by abusing a superior position within the organization.
- - Employees shall not engage in improper solicitation, provision of excessive gifts beyond social norms, or financial transactions among themselves.
- - Do not form factions or private organizations that cause a sense of alienation within the organization.
- - Employees shall not engage in any words or actions, including evaluations, metaphors, or physical contact, that may provoke sexual discomfort between individuals.
